Alessandra Carolina Rossi Martins

For over 12 years she has worked in the corporate and banking areas {fields, practices} with a focus on banking, foreign exchange, payments, and fintech regulations, including topics such as electronic means of payment, PIX, open banking, cryptoeconomics, blockchain, DeFi, NFTs, ICOs, and tokenization, as well as new regulatory frameworks, such as regulatory sandboxes and incentive programs for innovation in the sector.

She also provides advice on general business issues related to technology and innovation, such as structuring of joint ventures, partnerships, investment structures, and domestic and foreign financing for startups (including venture capital), M&A, capital markets, and project finance.

In the area of banking regulations and fintechs, she has played a central role in some of the most relevant deals {transactions, operations} in Latin America involving financial and payment institutions (regulated, non-regulated, models as a service) credit fintechs (PtoP, BtoP, BtoP, portfolio financing, banking as a service, and fintech as servisse {[sic - service]}, among others), companies operating in the cryptoeconomy, and uses of blockchain (cryptoexchanges, crossborder remittance structurers, tokenizers, issuers of stablecoins, CBDCs, NFTS and ICOs, trading platforms, and DeFic structures, among others), crowdfunding platforms, and issuances and structuring of projects for regulatory sandboxes.

Her experience also includes participation in the development of the main regulatory innovations in the sector, such as bills and regulations from the Central Bank of Brazil and the Securities and Exchange Commission of Brazil.

In the area of innovation and startups, she has helped to structure innovative projects for domestic and foreign entrepreneurs, such as corporate structuring and 360º legal risk mapping (together with the other practice groups {areas} of the firm), shareholders' agreements, stock option plans, investment agreements, angel investments, early stage and late stage investments, including preparation for receiving investment from accelerators and foreign venture capital funds, and exit events.
